## What does company formation in Qatar involve?

Forming a company in Qatar means obtaining a commercial registration from the
Ministry of Commerce and Industry, and then obtaining everything that
registration unlocks: a commercial permit for the premises, an establishment
card from the Ministry of Interior, and whatever sector approval the chosen
business activity requires. Most of it runs through the government's Single
Window investor portal.

The part that catches people out is not the application. It is the sequencing.
Several steps cannot start until an earlier one has produced a document, and
documents issued outside Qatar cannot be used at all until they have been
attested.

## Which legal structure should you register?

Invest Qatar publishes the available structures under Commercial Companies Law
No. 11 of 2015.

- **Limited liability company (LLC).** A separate Qatari legal entity.
Shareholders are liable only up to their capital contribution. The usual
choice for a business that will trade, invoice and hire in Qatar in its own
  name.
- **Branch office.** Not a separate legal entity. It operates under its foreign
parent, and the parent carries liability for what it does.
- **Representative office.** Limited to non-commercial activity — market
research, promotion, liaison with the parent. It cannot trade or generate
  revenue.

Ownership is governed separately. Under Foreign Investment Law No. 1 of 2019,
foreign investors may hold up to 100% of a company in most sectors, subject to
approval from the Ministry of Commerce and Industry. Invest Qatar lists banking,
insurance, commercial agencies and the exploitation of natural resources among
the exceptions, along with any other sector the Council of Ministers decides.
The Qatar Financial Centre and the free zones operate their own registration
regimes.

## What documents are required to form a company in Qatar?

**1. Identification for the people involved**
- Passport copies for every shareholder, valid well beyond the application date.
- Qatar ID for any shareholder or manager already resident in Qatar.
- Identification and appointment evidence for the proposed manager.
- A power of attorney where someone is acting on a shareholder's behalf —
  attested if issued outside Qatar.

**2. The company's constitutional documents**
- Articles of association, in Arabic, reflecting the agreed shareholding and
  management.
- A proposed trade name, cleared and reserved before it is used elsewhere.
- For a branch or representative office: the parent company's registration
certificate, its constitutional documents and a board resolution authorising
the Qatari presence and naming its legal representative — all attested.

**3. An address in Qatar for the registered office**
- Evidence of the premises the company will be registered at, which is also what
the commercial permit is issued against.

**4. Activity-specific approvals**
- Any licence or approval required by the regulator that oversees the activity.
The Single Window publishes a Business Activities Search Tool setting out the
requirements attaching to each specific activity.

Everything issued abroad must be attested. Qatar's Single Window investor portal
states that any formal document issued outside Qatar must be attested by the
Ministry of Foreign Affairs and by the embassy of Qatar in the issuing country.
Qatar is not a contracting party to the 1961 Hague Apostille Convention.

## How does the registration process work, step by step?

1. Settle the structure and the activity.
2. Check the activity's requirements — some are regulated and need sector
approval before the registration will issue.
3. Reserve the trade name.
4. Attest the foreign documents. This is the long pole and runs in parallel with
   everything above.
5. Draft and execute the articles of association, in Arabic.
6. Submit the application for the commercial registration through the Single
   Window.
7. Obtain the commercial permit for the premises.
8. Obtain the establishment card (computer card) from the Ministry of Interior.
9. Open the bank account and register with the other entities the activity
   requires.

## What does company formation in Qatar cost?

Two separate costs, never quoted as one number. **Government fees** are set and
published by the issuing entity and vary with the number of business activities
registered and the approvals the activity requires; the Single Window publishes
them per service. **Digital Zone's fee** is quoted separately, per request,
after the documents have been seen. No price list is published, because a single
figure would be wrong for almost everybody who read it.

## What happens after the company is registered?

Registration starts a recurring cycle. The commercial registration has to be
renewed before the expiry date printed on it; Qatar's Single Window investor
portal states that a CR can be renewed for one to five years and that renewal
covers the main registration and every branch registration at once. The
commercial permit cannot be renewed for longer than the registration it sits
under. The establishment card has its own renewal through the Ministry of
Interior, whose services for it are published through Metrash2.

## What goes wrong, and why

- **A document that was never attested.** The fix runs through an embassy in
another country — the slowest correction available.
- **A name that does not match** across a passport, a parent-company record and
  a translation.
- **An activity that needed an approval** selected without the sector
  regulator's approval attached.

All three are visible before submission.

## Frequently asked questions

**Can a foreigner own 100% of a company in Qatar?**
Under Foreign Investment Law No. 1 of 2019, foreign investors may hold up to 100% of a company in most sectors in Qatar, subject to approval from the Ministry of Commerce and Industry. Invest Qatar lists banking, insurance, commercial agencies and the exploitation of natural resources among the exceptions, along with any other sector decided by the Council of Ministers. Full foreign ownership is also available through the Qatar Financial Centre and the free zones, which run their own registration regimes.

**What is the difference between a commercial registration and a trade licence in Qatar?**
A commercial registration records the company itself — who owns it, who manages it and what activities it is registered to carry out. A trade licence, or commercial permit, authorises a specific premises to operate those activities at a specific address. Qatar's Single Window investor portal states that a commercial permit cannot be renewed for a longer period than the commercial registration it sits under, and that each permit is renewed separately while the registration is renewed for the whole organisation at once.

**Do company documents issued outside Qatar need to be attested?**
Yes. Qatar's Single Window investor portal states that any formal document issued outside Qatar must be attested by the Ministry of Foreign Affairs and by the embassy of Qatar in the issuing country. This applies to parent-company registrations, board resolutions, powers of attorney and shareholder identification issued abroad. Qatar is not a contracting party to the 1961 Hague Apostille Convention, so an apostille on its own does not replace the attestation chain.

**What happens immediately after a company is registered in Qatar?**
Registration is the start of a recurring compliance cycle, not the end of the process. A newly registered company generally needs a commercial permit for its premises, an establishment card — the computer card — from the Ministry of Interior before it can sponsor employees, and a bank account, which the bank will open against the registration documents. The commercial registration itself then has to be renewed before the expiry date printed on it.

**How long does company formation in Qatar take?**
Digital Zone does not publish a processing time, because the time belongs to the government entities involved rather than to us and it varies with the activity, the structure and whether documents issued abroad still need attesting. What we will tell you, before you start, is the order the steps have to happen in and which of them depend on something you do not yet have. That is usually the more useful answer.

**What is the most common reason a company registration application is rejected?**
The most common causes are documents that were never attested for use in Qatar, names that do not match exactly across a passport, a parent-company record and a translation, and an activity chosen on the application that requires a regulator's approval the applicant has not obtained. All three are visible before submission, which is why the file is checked against the requirement first rather than after a rejection.
